SUMMARY OF IMPORTANT LEGAL INFORMATION


Welcome to the AHS Management Company, Inc. ("we", "our," or "us") online patient portal ("Portal"). The Portal offers you secure, private access to some of your health records at our facilities. It provides certain online services including help with finding a doctor, scheduling appointments, receiving lab results, communicating with your physician via secure messaging, and requesting prescription refills. All use of the Portal is subject to the Patient Portal Agreement ("Agreement") below. BY CLICKING "I AGREE", YOU AGREE TO FOLLOW THE AGREEMENT. IF YOU DO NOT AGREE TO THE AGREEMENT, YOU MUST IMMEDIATELY STOP USING THE PORTAL.

Below is a summary of certain important information regarding use of the Portal:

  • The Portal is not for urgent or emergency medical issues. If you are experiencing an emergency, dial 911.
  • We may change or update this Agreement at any time. Your continued use of the Portal establishes your agreement to the new or updated Agreement.
  • To use Portal, you must be 18 years of age or older or an emancipated minor. Minor children between the ages of 13-18 may request access to their personal account with parental/guardian signature.
  • To use the Portal to access the information of another person, such as your child or an adult who is unable to make health care decisions, you must first complete a proxy access consent form, which in some cases may also require the consent of the person whose information will be accessed.
  • If you share your Portal user name and password with any other person, that person may see your personal health information. We are not responsible for a third party seeing your personal health information if the access results from you sharing or losing your user name or password.
  • You may use the Portal only as permitted by this Agreement and must not attempt to bypass any of its security features.
  • We strive to reply to all communications promptly, but understand that we can only reply to messages during our office hours, excluding holidays recognized by us. If you do not receive a response within two business days, please feel free to call our office.
  • Please note that any electronic communications accessed on an employer-provided or public computer may be accessed by your employer or a third party.
  • You are responsible for scheduling any necessary appointments and for determining if an unanswered online communication was not received.
  • We will not disclose your personal information to third parties other than as provided for in this Agreement, unless we believe in good faith that the law requires or permits such disclosure or you have otherwise approved additional use or disclosure of the information.
  • PATIENT PORTAL AGREEMENT

    THE PORTAL IS NOT A SUBSTITUTE FOR YOUR DOCTOR. YOU SHOULD NOT STOP OR CHANGE ANY COURSE OF TREATMENT ORDERED BY YOUR DOCTOR BEFORE ASKING HIM OR HER. THE INFORMATION AND MEANS OF COMMUNICATION PROVIDED THROUGH THE PORTAL ARE FOR NON-EMERGENT / NON-URGENT PURPOSES ONLY. IF YOU HAVE A MEDICAL EMERGENCY, DIAL 911.

    ELIGIBILITY

    To use Portal, you must be 18 years of age or older or an emancipated minor. Minor children between the ages of 13-18 may request access to their personal account with parental/guardian signature. Parents or guardians of minor children may request access to the minor child's account by following the terms outlined in the "Proxy Access" section below.

    PROXY ACCESS

    Proxy access allows individuals to view another patient's personal information. Individuals age 18 or older may request proxy access to another individual's Portal account by completing the appropriate proxy access consent form and submitting it to helpdesk@ardenthealth.com. Under state and federal law, there are certain types of medical information that a parent or guardian of a minor child may not view without the minor child's permission. Proxy access for a minor patient will only be granted to parties with parental rights or legal guardianship over the Portal account holder. When a minor patient reaches age 13, the minor patient must also sign a consent in order for a parent or guardian to have proxy access to a minor patient's Portal account. When the child reaches age 18, proxy access is discontinued.

    USE OF THE PORTAL

    (a) The Portal is a way for you to access your personal health information. You are solely responsible for (i) selecting a unique password, (ii) controlling access to and use of your account, user name, and password, and (iii) promptly informing us if you need to deactivate your account, user name, or password for any reason. If you share your Portal user name and password with any other person, that person may see your personal health information. We are not responsible for any breach of your personal health information if the breach is caused by you sharing or losing your user name or password. We are not liable for any loss that you may incur if someone else uses your Portal account, either with or without your knowledge, as a result of you sharing or losing your user name or password. However, you may be held liable for losses incurred by us or another party due to someone else using your account. You may not use anyone else's Portal account at any time, unless you receive approval by the account holder or are within your rights as a parent, guardian or other legal representative under applicable law.

    (b) You must select a password and keep that password confidential and secure. As a user of the Portal, you should change your password on a regular basis and keep your user name and password confidential. If you believe that your password has been compromised, you should change your password immediately by following the steps provided in the Portal. At the end of each online session, you must log out from the Portal before leaving your computer.

    (c) The information provided on the Portal is not a substitute for the advice of your doctor. Always seek the advice of your doctor with any questions you may have regarding your medical symptoms or a medical condition. Never ignore professional medical advice or delay in seeking it because of something you have read on the Portal.

    (d) DO NOT send any messages requiring urgent attention. The Portal is not for emergencies or urgent care needs. In the case of an emergency, call 911 or go to the nearest hospital.

    (e) The Portal provides you with portions of your medical record. The medical record provided through the Portal is not a complete copy of your medical record. You may obtain a complete or more complete copy of your medical record from our facilities, practices, and other providers where you have been a patient. To submit a request to access your complete or more complete copy of your medical record, please contact the facility or practice where you have been a patient in writing and ask for your request to be forwarded to the facility or practice's Privacy Officer.

    (f) You may use the Portal only as permitted by this Agreement and must not attempt to bypass any of its security features.

    PROVISION OF SERVICES

    (a) The Portal is currently provided free of charge, but we reserve the right to charge for the Portal in the future. If we begin to charge for the Portal, you will have the option to stop using the Portal.

    (b) We will attempt to keep the Portal free from error, but we do not guarantee the completeness, accuracy, availability, reliability or adequacy of the Portal or the information it makes available.

    (c) Parts of the Portal, such as general health information, are provided by third parties, and may have additional or different terms and conditions for you to follow. We do not continuously evaluate, and we are not responsible for, any content provided by these third parties. Any mention of specific products, processes, or services on the Portal does not create or imply a recommendation or endorsement by us under any circumstances.

    SECURITY

    The security of any information you submit through the Portal is very important to us. The Portal has security measures in place to help protect against the loss or misuse of your information. These measures include encryption technology and periodic reviews of our security practices to help ensure that your information is secure. Despite these measures, the confidentiality of any communication or information sent to or from us using the Portal either by Internet or email cannot be guaranteed. WE HEREBY DISCLAIM ANY AND ALL LIABILITY RELATED TO THE USE OR TRANSMISSION OF YOUR PROTECTED HEALTH INFORMATION IN CONNECTION WITH THE PORTAL.

    You are responsible for protecting your computer against viruses, malware, spyware, Trojan horses, and other types of problematic computer cookies, downloads, or software. We do not guarantee that your use of the Portal will be free of such problems.

    ACCESS, CORRECTION, AND DATA INTEGRITY

    Although we attempt to maintain the integrity and accuracy of the information on the Portal, we do not guarantee its correctness, completeness, or accuracy. The Portal may contain errors, inaccuracies, or omissions. Also, unauthorized additions, deletions, or alterations may be made to Portal by third parties without our knowledge. If you believe that information on the Portal is inaccurate or unauthorized, we ask that you notify us by contacting the helpdesk at helpdesk@ardenthealth.com or support line at 1-866-725-4357.

    COMMUNICATIONS

    When you visit the Portal or send e-mails to us, you are communicating with us electronically. You agree to receive responses and communications from us electronically. We may communicate with you by e-mail or by posting notices on the Portal. You agree that all electronic communications that we provide to you satisfy any and all legal requirements that such communications shall be in writing. You further agree that any notices provided by us to you electronically are considered to be given and received on the date we send any such notice.

    Although we strive to reply to all communications promptly, we cannot guarantee that we will be able to address your messages in that timeframe. We encourage you to use the Portal at any time but understand that we can only reply to messages during our office hours, excluding holidays recognized by us. If you do not receive a response within two business days, please feel free to call our office.

    Please note that any electronic communications accessed on an employer-provided or public computer may be accessed by your employer or a third party. You should not allow other individuals or other third parties to access your electronic communications concerning your personal health information.

    We may keep a copy of any online communication from you in your medical record. You should print or store a copy of any online communication that is important you. We will not forward any online communication from you to third parties except as authorized or required by law.

    Online communications, including through the Portal, should be used with caution. The Portal cannot be used for emergencies or other urgent or time-sensitive matters. Any emergency communication or urgent requests must occur by telephone through other existing emergency communication tools. If there is other, non-urgent information that you do not want transmitted online, you must contact your physician's office by phone or fax.

    Any follow-up communications are solely your responsibility. You are responsible for scheduling any necessary appointments and for determining if an unanswered online communication was not received.

    You are responsible for taking steps to protect your information from unauthorized use of online communication, such as keeping your username and password confidential. We are not responsible for breaches of confidentiality caused by you or an independent third party. You agree not to engage in any illegal online communications.

    By using certain features on the Portal, you are directing us to transmit your personal health information to the email addresses you provided. We take your privacy seriously and want to be sure that you understand that use of an unencrypted, unsecure email service for the transmission and storage of your personal information may not be secure and may cause your email (including your personal information contained in that email) to be intercepted, changed, or used by a third party without authorization or detection by your email provider. We and our affiliates cannot guarantee that the transmission of your information to your email service will be complete, accurate, or secure. If you choose to proceed with use of an unencrypted, unsecure email service for the transmission and storage of your personal information, you understand and agree that we and our affiliates are not liable to you or any third party for any disclosure, unauthorized access or use of your protected health information.

    DISCLAIMER

    WE WILL ATTEMPT TO PROVIDE THE PORTAL WITHOUT INTERRUPTION, BUT THE PORTAL IS PROVIDED ON AN "AS IS" BASIS. WE DO NOT GUARANTEE THAT YOU WILL BE ABLE TO ACCESS THE PORTAL AT ANY TIME. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ANY IMPLIED WARRANTY OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING THE PORTAL. WE MAKE NO WARRANTY THAT THE PORTAL WILL PERFORM WITHOUT INTERRUPTION OR WILL BE FREE FROM ERRORS.

    LIMITATION OF LIABILITY

    WE AND OUR AFFILIATES ARE NOT RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING IN ANY WAY TO THE PORTAL OR ANY THIRD-PARTY WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT WE ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    YOU ACKNOWLEDGE AND AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DEFECT IN OR DISSATISFACTION WITH THE PORTAL IS TO CEASE USE OF THE PORTAL. IF APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

    INDEMNITY

    You agree to defend, indemnify, and hold us and our affiliates harmless from and against any and all claims, losses, liability, costs, and expenses (including attorneys' fees) arising from or related to your use of the Portal, and you covenant not to sue us and our affiliates for any injuries to you or your property arising out of or related to your use of the Portal.

    YOU EXPRESSLY WAIVE AND GIVE UP ALL RIGHTS AND BENEFITS UNDER CALIFORNIA CIVIL CODE SECTION 1542 AND ANY LAW OR LEGAL RULE OF SIMILAR EFFECT IN ANY OTHER STATE OR TERRITORY WITH RESPECT TO THE RELEASES GRANTED BY YOU IN THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO THE RELEASE OF UNKNOWN AND UNSUSPECTED CLAIMS GRANTED IN THIS AGREEMENT. YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND SECTION 1542 OF THE CALIFORNIA CIVIL CODE, WHICH PROVIDES AS FOLLOWS:

    "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."

    PRIVACY POLICIES

    The Portal provides you with access to some of your medical records. Before you access those records, we will ask you information to make sure it is you. This information may include your name and email or physical address, your date of birth and the answers to "secret questions" to which only you know the answers. We may ask you for this information again when you sign in from a new device.

    We may ask for information about your location and medical needs to help you with find a doctor, schedule appointments, receive lab results, communicate with your physician via secure messaging, and request prescription refills.

    We may also collect and store the Internet Protocol (IP) address of the computer you are using; the name of the domain and host from which you access the Internet; the browser software you use and your operating system; the date and time you access the Portal; and the Internet address of the website from which you directly linked to the Portal. We use this information to look at trends, conduct and improve the Portal, monitor Portal traffic and usage patterns for information security purposes, and help make the Portal more useful.

    In addition to the uses and disclosures of information outlined above, your information may also be used and disclosed as follows:

  • If another person has proxy access to your account or is otherwise managing your account on your behalf (for example, a parent managing the account of a minor child) as authorized by you or as permitted under applicable law, that person can view all of your information in the Portal.
  • We may use your information to send you surveys and other targeted messages with your approval or otherwise in compliance with applicable law.
  • We may use your information to respond to your requests.
  • We may send you messages or other alerts through the Portal. You agree that all messages you send through the Portal will be regarding your health care and conditions. You acknowledge that you cannot ask for advice for a friend or family member unless you are granted proxy access for that individual.
  • We may share information with support partners who assist us with our operations, including providing communications described in this Agreement to you, and who are required to protect the confidentiality of your information.
  • We may transfer the information we have about you, including personally identifiable information, in the event that all or part of our business is sold or acquired by another party or in connection with a similar transaction.
  • We may use or disclose your information as required or allowed by applicable law.
  • We will not disclose your personal information to third parties other than as provided for in this Agreement, unless we believe in good faith that the law requires or permits such disclosure or you have otherwise approved additional use or disclosure of the information.

    If you share your Portal user name and password with another person, that person may see your confidential medical record information. We have no responsibility for any breach of your confidential medical record information if you share or lose your user name or password.

    THIRD-PARTY WEBSITES AND PAYMENTS

    If you use the Portal to link to a third-party website, you may decide to disclose personal information at that website. Please be aware a third party may obtain personal information about you. This Agreement not apply when you leave the Portal. We encourage you to be aware when you leave the Portal and to read the privacy statements of each and every website that collects personally identifiable information.

    Any payments you may make for services provided by us on the Portal are made exclusively through an affiliated third-party website with a separate privacy policy of which applies to your payment, not this Agreement.

    CHANGES

    We may change or update this Agreement at any time. Your continued use of the Portal establishes your agreement to the new or updated Agreement. You agree that any changes are effective immediately upon posting of the changed Agreement on the Portal. We encourage you to periodically reread this Agreement to see if there have been any changes to our policies that may affect you.

    PERSONAL USE

    The Portal is provided solely for your personal and noncommercial use. Any use of the Portal that is inconsistent with this Agreement is strictly prohibited.

    GOVERNING LAW

    The laws of the State of Tennessee, without regard to principles of conflict of laws, will govern this Agreement and any dispute that may arise between you and us or any of our affiliates.

    TERM AND TERMINATION

    This Agreement apply starting on the date you indicate your acceptance of this Agreement and will continue until you either stop using the Portal or your rights to use the Portal are terminated by us. The Portal is provided to you as a convenience. We have the right to terminate or limit your access to the Portal or to suspend or terminate the Portal service at any time for any reason, with or without notice to you.

    GENERAL

    No delay or failure to act with respect to a violation by you or others of this Agreement waives our right to act with respect to later or similar violations. If any part of this Agreement is held by a court of competent jurisdiction to be invalid, you and we agree that the validity of the remainder of this Agreement shall not be affected. You may not modify this Agreement. This Agreement set forth the entire agreement between you and us with respect to the Portal and take the place of all previous agreements, either verbal or written, with respect to the Portal.

    TRADEMARKS AND COPYRIGHTS

    The names, words, symbols, and graphics representing us and our affiliates are our trademarks. Users of the Portal are not authorized to make any use of our marks or the proprietary marks of third parties. The Portal and all content on the Portal is our property or licensed to us. Any rights not expressly granted to you by this Agreement are reserved by us.
